TouTouBot Terms of Service

These Terms of Service (the "Terms") form a binding contract between you and TouTouBot, a software-as-a-service platform operated from Phnom Penh, Cambodia ("TouTouBot", "we", "us", or "our"), and govern your use of the Services.
The "Services" means, collectively: (a) any TouTouBot-powered shop website, including any *.toutoubot.com subdomain or custom domain operated through TouTouBot; (b) the TouTouBot Telegram Mini Apps and the merchant Telegram bots provisioned through TouTouBot; (c) the TouTouBot Shop Admin panel at admin.toutoubot.com, including its delivery-management, point-of-sale (POS), and staff tooling; (d) the PhsarThom marketplace at phsarthom.toutoubot.com and its Telegram Mini App; (e) the TouTouBot mobile application(s) distributed through the Apple App Store and Google Play Store, where applicable; and (f) any related APIs, websites, and features that link to these Terms.
Please read these Terms carefully. By creating an account, signing in, or using the Services in any way, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
If you are using the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity, in which case "you" includes both you personally and that entity.
1. Who these Terms apply to
The Services are used by several groups, and some sections apply to one group only.
- Customers ("Customers") — people who shop on TouTouBot-powered storefronts or browse the PhsarThom marketplace.
- Shop Owners ("Shop Owners") — independent merchants who use TouTouBot to run a storefront.
- Staff ("Staff") — people invited by a Shop Owner to help operate that Shop Owner's shop, including cashiers and other role-limited accounts.
- Drivers ("Drivers") — people engaged by a Shop Owner to deliver that shop's orders using TouTouBot's delivery tooling. Drivers are a type of Staff for the purposes of these Terms.
- Second-hand Sellers ("Second-hand Sellers") — users who list used items or job posts on the PhsarThom second-hand market.
Sections 2–7 and 20–26 apply to everyone. Sections 8–13 are specific to Customers and other individual users (including Second-hand Sellers). Sections 14–19 are specific to Shop Owners, Staff, and Drivers.
2. Eligibility
To use the Services you must be at least 13 years old, or 16 if the law in your jurisdiction sets that as the minimum age to consent to online services. To open a Shop Owner account or to enter into a paid subscription, you must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract.
You are responsible for complying with all laws that apply to you when using the Services, including export, sanctions, tax, and consumer-protection laws.
3. Your account
- Account creation. You may create or access an account using Telegram, Google, Apple, or a phone OTP, where supported. Some features are also available without an account ("guest" mode).
- Accuracy. You must provide accurate information and keep it up to date.
- Security. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at the contact in Section 26 if you suspect unauthorised access.
- One person per account. Customer accounts are personal to you. Shop Owners may invite multiple Staff users; each Staff user must use their own credentials.
- Public username for second-hand selling. To list an item or job on the PhsarThom second-hand market, your Telegram account must have a public username, and that username is published on your listing so buyers can contact you. See Section 13.
- Closing your account. You may permanently delete your account at any time directly inside the Services (see the Privacy Policy, Section 13). Customer deletion is immediate and irreversible. Shop Owner closures have a 7-day recoverable grace window before they become irreversible. Suspension or termination by us is described in Section 21.
4. The relationship between TouTouBot, Shops, and Customers
TouTouBot is a platform. Each shop operating on the Services is run by an independent Shop Owner. Unless we tell you otherwise in writing:
- TouTouBot is not the seller of the goods listed on any Shop Owner's storefront. The Shop Owner is the seller and is solely responsible for the products it offers, the descriptions and images it uses, the prices it sets, the taxes it applies, the orders it accepts, the deliveries it makes, the returns it handles, and any warranties or guarantees it gives.
- TouTouBot is not a payment service for shop orders. We provide tools that allow Shop Owners to accept payment via third-party providers (currently ABA PayWay, using the Shop Owner's own merchant account), via direct bank transfer (manual QR to the Shop Owner's own account), or as cash (on delivery or at a POS counter). Funds for a shop order do not pass through TouTouBot's accounts. TouTouBot is the merchant for platform-level products — TouTou Pro, AI Credit packs, and Shop Owner subscription fees — which are paid to TouTouBot directly (including, where offered, through a TouTouBot payment-gateway account).
- TouTouBot is not a delivery or logistics provider. We provide delivery-management tooling (Driver accounts, run planning, GPS tracking, cash-on-delivery reconciliation, and payroll calculation), but delivery itself is arranged and performed by the Shop Owner and its Drivers, who act for the Shop Owner and not for TouTouBot.
- PhsarThom is a discovery surface. The PhsarThom marketplace helps you find shops and products across the platform. When you buy from a shop you found on PhsarThom, the sale still happens on that shop's own storefront under this Section and Section 8. Second-hand transactions between users are described in Section 13.
- TouTouBot does not guarantee any Shop Owner's conduct. A complaint about a product, price, delivery, refund, return, or warranty is between you and the Shop Owner. We will reasonably assist you in identifying the right Shop Owner contact.
The TouTou Pro subscription and the AI Credits wallet are exceptions: those are platform-level services provided directly by TouTouBot to you. See Sections 9 and 10.
5. Acceptable use
You agree not to, and not to attempt to, do any of the following while using the Services:
- Use the Services for anything illegal, fraudulent, harmful, threatening, abusive, defamatory, harassing, hateful, sexually explicit, or that infringes anyone else's rights.
- Sell or attempt to sell anything you are not legally permitted to sell, including counterfeit goods, controlled substances, weapons, items that infringe third-party intellectual property, or anything that violates the policies of the platforms we operate on (Telegram, Apple App Store, Google Play Store). This applies equally to storefront products and second-hand listings.
- Post misleading, fraudulent, or non-existent second-hand listings or job posts, including fake job offers, bait-and-switch listings, or listings for items you do not have the right to sell.
- Use contact details published on a listing (such as a seller's Telegram username) for any purpose other than communicating about that listing, or to harass, spam, or defraud the seller.
- Artificially inflate or manipulate ad impressions, ad clicks, search rankings, views, or any other engagement metric within the Services.
- Upload viruses, malware, or any code that could harm the Services, our infrastructure, or other users.
- Probe, scan, or test the vulnerability of the Services without prior written authorisation from us; or breach or circumvent security or authentication measures.
- Scrape, harvest, or otherwise collect information from the Services in bulk, including by automated means, except as expressly permitted by us in writing or by a published API and its rate limits.
- Reverse engineer, decompile, or attempt to discover the source code of the Services, except to the extent the law expressly permits despite this restriction.
- Misuse the AI features, including by uploading photos of other people without their consent, generating non-consensual intimate imagery, or producing content that the law or our content policies prohibit.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Interfere with the proper working of the Services, including by overloading, flooding, or spamming any part of them.
- Abuse account-deletion controls in an attempt to evade fraud detection, dispute resolution, or other legitimate operational measures.
We may add to or update the acceptable-use rules at any time. Changes apply prospectively.
6. User content
"Your Content" means anything you upload, submit, or transmit through the Services, including photos, product images, text, reviews, messages, second-hand listings and job posts, and any other material.
- Ownership. You keep ownership of Your Content. We do not claim ownership of it.
- Licence to TouTouBot. You grant TouTouBot a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, adapt (for example, to resize an image or apply a watermark), and otherwise process Your Content solely as needed to operate, secure, and improve the Services for you, and to comply with the law. This licence ends when you or we delete Your Content from the Services, except for the limited purposes described in our Privacy Policy (such as legally required retention or messages held by a Shop Owner under its own control).
- No use for AI training. We do not use Your Content to train, fine-tune, or evaluate generalised AI models. See the Privacy Policy, Section 8.
- Public content. If you post content that is meant to be visible to others (for example, a product review or a second-hand listing), you give other users of the Services and the Shop Owner permission to view, copy, and re-share that content within and about the Services. A second-hand listing — including its photos, text, your Telegram username, and any location you attach — is public content visible to anyone, including people without an account.
- Advertisements. Feeds on the PhsarThom marketplace may include clearly presented promotional placements operated by TouTouBot or provided by advertisers. Advertisement content is not Your Content and is not an endorsement by TouTouBot of the advertised product or service.
- Messages to Shop Owners. If you message a Shop Owner through that shop's Telegram bot or in-shop chat, the message is treated as part of that Shop Owner's customer-service records. Deleting your TouTouBot account does not automatically delete those messages from the Shop Owner's records; see the Privacy Policy, Section 13.
- Your responsibility. You are responsible for Your Content. You confirm that you have all rights necessary to upload it and to grant the licence above, and that Your Content does not break the law or the rules in Section 5.
- Removal. We may, at our discretion, remove or refuse to display Your Content if we believe it breaks these Terms or the law. Where reasonable, we will tell you why.
7. Intellectual property of TouTouBot
The Services, including the software, design, branding ("TouTouBot", "PhsarThom", the elephant logo, the trumpet sound mark, and related marks), interface, copy text, illustrations, and the underlying APIs and data structures, are owned by TouTouBot and protected by intellectual-property laws. These Terms do not transfer any of those rights to you.
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Services in line with these Terms. We reserve all rights we have not expressly granted.
You may not use the TouTouBot or PhsarThom names, logos, or trademarks without our prior written permission, except to truthfully describe that a shop is "powered by TouTouBot".
8. Customer purchases
When you place an order on a Shop Owner's storefront:
- You enter into a contract of sale with the Shop Owner, not with TouTouBot.
- The Shop Owner is solely responsible for accepting or rejecting your order, charging the correct amount, applying applicable taxes, fulfilling the order, handling delivery, and dealing with returns, refunds, and warranties.
- Prices, currencies, delivery fees, and product descriptions are set by the Shop Owner. Shops may display prices in US Dollars, Cambodian Riel, or both; where a second currency is shown, it is converted at an exchange rate the Shop Owner configures, and the shop's base currency controls what you owe. We make reasonable efforts to make sure the platform shows prices correctly, but mistakes can happen. If a Shop Owner accepts an order at a price that turns out to be wrong, the Shop Owner is responsible for resolving it with you.
- Payment is handled outside TouTouBot's accounts (see Section 4).
- If you drop a GPS pin at checkout to mark your delivery location, that pin is shared with the Shop Owner (and its Drivers) to deliver your order.
- Tax invoices. Where a Shop Owner has enabled VAT invoicing, tax invoices are issued by the Shop Owner under the Shop Owner's own legal name and tax identification number (TIN). TouTouBot is not a party to the Shop Owner's tax affairs and does not issue tax invoices for shop orders.
- Counter (POS) sales. Shops may record in-store sales at a POS counter. If you give shop staff your name or phone number at the counter (for example, for a receipt or warranty), that information becomes part of the Shop Owner's sales records.
- Telegram notifications related to your order (such as "order confirmed" or "preparing") are sent through the Shop Owner's Telegram bot.
- If you delete your TouTouBot account after placing an order, the order itself remains on the Shop Owner's records (with personal fields anonymised) for as long as the Shop Owner is required to keep it. You may still need to deal with the Shop Owner directly to complete or dispute the order.
If you have a dispute about a product or order, contact the Shop Owner first. We can help you identify the right Shop Owner contact, but we are not obliged to act as arbitrator.
9. TouTou Pro (Customer subscription)
TouTou Pro is a paid subscription provided directly by TouTouBot.
- Benefits. Pro benefits currently include priority processing in the virtual try-on queue, a lighter watermark on try-on results, periodic AI Credit grants, the ability to share try-on results to Telegram, and Pro-exclusive discounts that participating Shop Owners may offer at checkout. Specific benefits and limits may change; we will tell you about any material change.
- Plans and pricing. Plans and prices are shown in the Services at the time of purchase. Prices may include or exclude taxes, depending on your jurisdiction.
- Payment. TouTou Pro is paid to TouTouBot using the methods we accept (currently manual QR / bank transfer or ABA PayWay via TouTouBot's payment account; in-app purchase mechanisms may be added inside mobile applications). For manual payments, your subscription becomes active after we verify your payment.
- Auto-renewal. Where auto-renewal is offered, the subscription renews at the end of each period unless you cancel before the period ends. You can cancel at any time from your Profile.
- Cancellation and refunds. You can cancel at any time. Your benefits stay active until the end of the period you have already paid for. Except where the law (such as a consumer-protection law that applies to you) requires otherwise, we do not refund partial or used periods.
- Effect of account deletion. Deleting your Customer account automatically cancels any active TouTou Pro subscription and disables future auto-renewals. Pro benefits remain until the end of the period you have already paid for.
- Mobile-app purchases. If you subscribe through the Apple App Store or Google Play, your purchase is governed by the store's own billing rules in addition to these Terms. Refunds for store-billed subscriptions must be requested through the store, not from TouTouBot.
10. AI Credits
The AI Credits wallet is a platform-level credit balance used to pay for AI features inside the Services — virtual try-on generations for Customers, and AI Studio / ProductVision image processing (such as background removal and product-photo reimagining) for Shop Owners, whose shops have their own credit wallets.
- Nature of credits. Credits are a prepaid digital entitlement to use specific AI features inside the Services. They are not money, currency, gift cards, or stored value, and have no cash value outside the Services.
- Two kinds of balance. Granted credits (for example, daily or monthly allowances, promotional grants, or grants included in a subscription or shop tier) refresh or expire on the cadence shown in the Services. Durable credits are the ones you purchase; they do not expire while your account is active. When you use an AI feature, the Services state the credit price at the point of use.
- Pricing changes. The number of credits an AI feature costs, and the price of credit packs, are shown in the Services and may change for future use and purchases. Changes apply prospectively; credits and prices already purchased are recorded at the moment of purchase and do not change retroactively.
- Fair-use limits. We may apply platform-wide daily or rate limits on AI features (independent of your credit balance) to keep the Services available for everyone.
- No transfer. Credits are personal to your account (or, for shop wallets, to the shop) and may not be sold, exchanged, transferred, or combined with another user's credits.
- Purchase. Credits are sold by TouTouBot in packs at the prices shown at the time of purchase.
- Effect of account deletion. If you delete your account, any unused credit balance is forfeited and cannot be recovered or refunded, except where the law requires otherwise.
- Refunds. Except where the law requires otherwise, credit purchases are non-refundable once approved and added to your wallet.
11. Virtual try-on
Try-on output is an AI-generated visualisation, not a guarantee of fit, colour, fabric, or appearance. You should not rely on it as a substitute for trying a product in person. By using try-on, you confirm that any photo of a person you upload is a photo of yourself or a person who has given you express permission to upload their image for this use. Section 6 (your licence to us) and Section 8 of the Privacy Policy (no AI training, no facial recognition) apply.
Try-on processing may run on GPU infrastructure rented from third-party providers under a written processor agreement; see the Privacy Policy, Section 8. Your try-on gallery keeps a rolling set of your most recent results (currently 30); when it is full, the oldest result is removed to make room for a new one.
We watermark try-on output to protect Shop Owners' product imagery. You may not remove or obscure the watermark.
12. The PhsarThom marketplace
PhsarThom is a discovery marketplace operated by TouTouBot that brings together shops, products, second-hand listings, and job posts from across the platform.
- Shop listings. Shops on TouTouBot are included in PhsarThom by default. Shop Owners can remove their shop from the marketplace at any time using the marketplace-listing toggle in the Shop Admin. Product information shown on PhsarThom comes from each shop's own catalogue; the Shop Owner remains responsible for it.
- Buying. PhsarThom itself does not sell anything and does not take payment. Tapping a product takes you to the shop's own storefront, where Section 8 applies.
- Ranking and personalisation. Search results and feeds on PhsarThom may be ordered by relevance, popularity, and — if you have not opted out — personalisation signals described in the Privacy Policy (Section 7). Ranking is not a paid placement unless a placement is presented as an advertisement.
- Advertisements. PhsarThom feeds may include promotional placements operated by TouTouBot. We measure ad views and taps in aggregate as described in the Privacy Policy.
- Availability. PhsarThom is provided as-is as a free discovery service and may change or be withdrawn at any time.
13. Second-hand listings and job posts (user-to-user)
The PhsarThom second-hand market lets any signed-in user list used items or job posts for others to find. Read this section carefully — it works differently from shop purchases.
- Listing. You may keep a limited number of listings active at a time (currently 10, each with up to 5 photos). Listings must be accurate, lawful, and yours to sell (or, for job posts, genuine offers of work).
- Your contact details are published. Listing requires a public Telegram username, and your username is shown on your listing so that interested buyers can contact you directly on Telegram (
t.me/your-username). Do not list if you do not want your username to be public. - Location is optional — and public. You may attach a location to a listing so it appears on the public map. The location you pin is visible to everyone. We recommend pinning a general area or meeting point rather than your exact home address.
- TouTouBot is not a party to second-hand transactions. Contact, negotiation, payment, and hand-over happen directly between you and the other user, outside the Services. TouTouBot provides no payment processing, escrow, delivery, buyer protection, or guarantee of any kind for second-hand transactions and does not verify the identity, listings, or claims of any user. Deal with the same care you would use in any private sale: meet in a safe public place, inspect the item before paying, and be cautious with advance payments.
- Job posts. A job post is an advertisement by the posting user, not by TouTouBot. We do not verify employers or job offers. Never pay money to obtain a job.
- Reporting and moderation. Any user can report a listing. We may remove listings, restrict accounts, or suspend second-hand selling privileges at our discretion, including for breach of Section 5.
- Deleting. You can mark a listing sold or remove it at any time. Deleting your account removes your listings.
14. Shop Owner subscription, closure, and data export
If you sign up as a Shop Owner, the following applies in addition to the rest of these Terms.
- Subscription fees. You agree to pay the subscription fee for the plan (tier) you select, on the cadence shown at sign-up (typically monthly). Your tier determines which features and limits apply to your shop.
- Onboarding fee, coupons, and free betas. Where we run a free trial or a beta-tester programme, the terms of that programme will be communicated to you and may add to or replace some of the subscription terms.
- Payment of platform fees. Subscription fees, setup fees, and credit-pack purchases are paid to TouTouBot by the methods we accept, currently manual QR / bank transfer to TouTouBot's account or ABA PayWay via TouTouBot's payment account.
- Invoicing. Invoices are generated automatically. Outstanding invoices are marked overdue after the due date. Shops with invoices more than 21 days overdue may be suspended (read-only) until paid.
- Cancelling your subscription. You may cancel your subscription at any time. Cancellation takes effect at the end of the period you have already paid for, except where you and we agree otherwise in writing. Cancelling your subscription does not by itself delete your shop or its data; it stops future invoices on your current plan.
- Closing and deleting your shop. You may close your shop and delete its data at any time directly inside the Shop Admin, under Settings → Danger Zone. The closure flow is owner-only — staff and managers cannot trigger it. To proceed, you must enter your admin password twice; both copies must match each other and verify against the password we have on file. Once confirmed:
- Your shop enters a deletion-pending state and a 7-day grace window begins.
- Your storefront immediately stops resolving and new orders are blocked.
- Any active platform subscriptions or paid add-ons tied to the shop are cancelled.
- Your shop's data — products, orders, customers, files, bot configuration — is preserved and recoverable during the 7 days.
- You can cancel deletion at any time during the grace window by logging back in to the Shop Admin and tapping Cancel deletion.
- After 7 days, an automated process permanently and irreversibly destroys your shop's database schema, files, and Telegram bot configuration. After this point, neither you nor TouTouBot can recover the data.
- Cancelled subscriptions are not automatically reactivated when you recover; you must contact
@toutoubot_supportto re-enable them.
- Data export. Before triggering closure (or, at the latest, during the grace window) you should export your product catalogue, order data, and customer data using the export tools provided in the Shop Admin. We are not obliged to recover or recreate data after the irreversible teardown.
- Termination by us. We may suspend or terminate your shop for material breach of these Terms, for non-payment, or as described in Section 21. Where we initiate immediate termination on grounds of fraud, abuse, or compelled legal action, the same shared teardown may apply without a 7-day grace window.
- Refunds. Subscription fees are non-refundable except where the law requires otherwise or where we say so in writing. We do not refund the unused portion of a paid period if you choose to close your shop.
- No transaction fees in v1. We do not currently charge a percentage transaction fee on Shop Owner sales. We may introduce one in future, with at least 30 days' written notice before it applies to you.
15. Shop Owner responsibilities
As a Shop Owner you are independently responsible for:
- The lawfulness, accuracy, and quality of everything you list, sell, ship, or communicate through your shop.
- Holding all licences and registrations needed to operate your business in your jurisdiction.
- Charging the correct prices and applicable taxes, and remitting them to the right authorities. If you enable VAT invoicing, you are solely responsible for the accuracy of your TIN, legal name, and VAT settings, and for the tax invoices issued in your name through the Services.
- Choosing, paying, and supervising your delivery providers. Your Drivers are your personnel, not TouTouBot's. You are responsible for their conduct, their compliance with road-safety and labour law, the cash-on-delivery funds they carry and reconcile, and for informing them that their location is tracked during delivery runs (see the Privacy Policy, Section 3).
- The accuracy of any payout details (such as bank account numbers for drivers, staff, or suppliers) you enter into the Services, and for the payments you make based on them.
- The accuracy and lawfulness of sales you or your Staff record at the POS counter, including any customer details entered there.
- Handling your customers' personal information lawfully (see Section 16), and responding to their data-protection requests, including for any chat threads with your customers that remain under your control after a customer deletes their TouTouBot account.
- Resolving disputes with your customers. Where you ban a customer from your shop, you must do so lawfully and not in a discriminatory manner.
- Honouring any returns, refunds, exchanges, and warranties you offer or that the law requires.
- Keeping your Shop Admin password and any payment-gateway credentials secret. The password is also what authorises shop closure; treat it accordingly.
- Using chat-selling, broadcasts, community digests, and shop channels in line with Section 17, applicable law, and Telegram's terms.
- Complying with the terms of any third party you connect to the Services, including Telegram (for example, the Telegram Bot API and Mini App rules), ABA Bank (for PayWay), and Apple/Google (for any mobile distribution).
You will not use the Services to operate a shop that lists prohibited items (see Section 5) or that the law in your jurisdiction prohibits. We may remove non-compliant listings or suspend the shop at our discretion.
16. Shop Owner data-processing addendum
When TouTouBot processes Customer personal information on your behalf (the "Customer Personal Data"), the following applies. This Section forms a data-processing addendum between you (as data controller of your shop's customer information) and TouTouBot (as data processor on your behalf):
- Subject matter and purpose. TouTouBot processes Customer Personal Data only to provide the Services to you and as you instruct through the Services configuration.
- Categories of data and data subjects. Identifiers (name, phone, address, Telegram or Google ID), order data (including delivery GPS coordinates), chat threads and messages sent through your shop, walk-in customer details entered at your POS counter, Driver identity and location data recorded during your delivery runs, payout details you enter for your drivers, staff, and suppliers, and any photos sent through your shop — relating to people who shop at your storefront and people who work for you.
- Duration. For as long as you are an active Shop Owner. On shop closure, the 7-day grace window in Section 14 applies, after which Customer Personal Data held in your shop's schema is destroyed alongside the rest of the shop.
- Customer-initiated deletions. If a Customer deletes their TouTouBot account, TouTouBot will anonymise the personal fields on that Customer's order rows in your shop (phone, address, GPS, delivery notes, customer notes) and rename the customer record to
[deleted user]. The order rows themselves remain so that you can keep your commercial records. Customer-shop chat threads remain in your shop's records under your control; you are responsible for handling any further deletion request the Customer makes to you directly. - Security and confidentiality. TouTouBot applies the security measures described in Section 14 of the Privacy Policy and ensures that personnel with access to Customer Personal Data are bound by confidentiality.
- Sub-processors. TouTouBot may engage sub-processors (such as the cloud, backup, and AI infrastructure providers listed in the Privacy Policy, Section 6) provided they are bound by terms substantially similar to these. We will tell you of new sub-processors, and you may object on reasonable grounds.
- Assistance. TouTouBot will give you reasonable help in responding to Customer requests under data-protection law and in the event of a personal-data incident.
- Return or deletion on termination. On termination, TouTouBot will return or delete Customer Personal Data as described in Section 14.
- Your responsibilities. You are responsible for having a lawful basis to collect and process Customer Personal Data, for giving the privacy notices the law requires, and for honouring data-subject rights.
17. Marketing and broadcasts
Tools that let you send Telegram broadcasts, daily summaries, restock alerts, chat-selling messages, or community and channel digests must be used in line with the law (including any anti-spam law that applies to you), Telegram's own terms, and the recipients' expectations. Customers must have a lawful basis to receive your messages. We may rate-limit, throttle, or suspend broadcast features if abuse is detected.
18. Live selling
If you use live selling features that integrate Facebook, YouTube, TikTok, or another third-party platform, you must comply with that platform's terms. Music, images, and other content you stream must be content you are licensed to use. We are not responsible for content that streams from those platforms; we only show what your customers can already see there.
19. Staff accounts
Shop Owners may invite Staff with role-based permissions, including limited roles such as cashier (POS access only) and Driver (delivery access only). Each Staff user and Driver is bound by these Terms personally and must use their own login. Drivers see customer delivery details only for the delivery runs assigned to them. The Shop Owner is responsible for the actions of their Staff and Drivers in the Services, including any data exposure caused by sharing or losing credentials. Staff and managers cannot trigger shop closure; only the Shop Owner can.
20. Third-party services and platforms
The Services interoperate with third-party platforms and providers, including Telegram, Apple, Google, ABA PayWay, our cloud hosting, backup, and GPU infrastructure providers (see the Privacy Policy, Section 6), and mapping and geocoding services based on OpenStreetMap data. Your use of those platforms is governed by their own terms, not these Terms. We are not responsible for those platforms' acts or omissions.
If you obtained the TouTouBot mobile application through the Apple App Store, the following also applies (Apple's standard EULA-compliance terms):
- These Terms are between you and TouTouBot only, not Apple. TouTouBot is solely responsible for the application and its content.
- Your licence to use the application is a non-transferable licence to use it on any Apple-branded product that you own or control, in accordance with Apple's Usage Rules.
- Apple has no obligation to provide any maintenance or support for the application.
- If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price you paid for the application (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application.
- TouTouBot, not Apple, is responsible for addressing any claims you or any third party have relating to the application or your possession or use of it, including: (i) product-liability claims; (ii) any claim that the application fails to conform to any legal or regulatory requirement; (iii) claims arising under consumer-protection or similar law; and (iv) claims that the application infringes a third party's intellectual-property rights. TouTouBot is solely responsible for the investigation, defence, settlement, and discharge of any such claim.
- You confirm that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms with respect to the application, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
21. Suspension and termination
- By you. You may stop using the Services at any time. Customers can permanently delete their account from the Profile screen (immediate, irreversible). Shop Owners can permanently close their shop from Settings → Danger Zone (7-day recoverable grace window, then irreversible). See Section 13 of the Privacy Policy and Section 14 of these Terms.
- By us, for cause. We may suspend or terminate your access — including your second-hand selling privileges — immediately and without notice if we reasonably believe you have breached these Terms, broken the law, exposed us, our other users, or our service providers to liability, or if a third-party platform we depend on requires us to. In such cases the 7-day grace window does not apply. Where reasonable, we will tell you why.
- By us, for non-payment. Shops with invoices more than 21 days overdue may be suspended (read-only) until the balance is paid, as described in Section 14.
- By us, for convenience. We may stop offering all or part of the Services with reasonable advance notice (typically 30 days for paid features), refunding any unused prepaid amount as required by law.
- Shop-level bans. Shop Owners may block individual customers from interacting with their own shop. A shop-level ban does not affect your TouTouBot account or your access to other shops.
- Effect of termination. Sections that by their nature should survive termination (including 4, 6, 7, 16, 20, 22, 23, 24, 25, and 26) survive.
22. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". We make no warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components.
We do not warrant any product or service offered by any Shop Owner, any second-hand listing or job post published by any user, or any content shown on the PhsarThom marketplace. AI-generated output, including try-on images, is provided as a visualisation only.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
23. Limitation of liability
To the maximum extent permitted by law:
- No indirect damages. Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or business interruption, arising out of or relating to these Terms or the Services, even if the party has been advised of the possibility of those damages.
- Cap. TouTouBot's total aggregate liability arising out of or relating to these Terms or the Services in any 12-month period is capped at the greater of (a) the amounts you paid to TouTouBot during the 12 months immediately before the event giving rise to the claim, or (b) USD 100.
- Exceptions. Nothing in this Section limits liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any other liability that the law says cannot be excluded or limited.
24. Indemnity
You agree to defend, indemnify, and hold harmless TouTouBot and its personnel from any claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your breach of any law; (c) Your Content, including your second-hand listings and job posts; (d) (for Shop Owners) your products, services, or business operations, the conduct of your Staff and Drivers, and any dispute between you and your customers; and (e) your misuse of the Services.
25. Disputes and governing law
- Governing law. These Terms are governed by the laws of the Kingdom of Cambodia, without regard to conflict-of-laws rules.
- Forum. The courts of Phnom Penh, Cambodia have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that we may seek injunctive relief in any court of competent jurisdiction.
- Mandatory consumer rights. If you are a consumer in a jurisdiction where local consumer-protection law gives you rights that cannot be waived, those rights apply in addition to these Terms.
- Informal resolution first. Before filing a claim, you agree to contact us at the address in Section 26 and try in good faith to resolve the dispute informally for 30 days.
26. General terms

Entire agreement. These Terms, together with the Privacy Policy and any plan-specific or feature-specific terms we point you to, are the entire agreement between you and TouTouBot regarding the Services.

Changes. We may update these Terms. Material changes will be announced in the Services and, where reasonable, by message to your account. Continued use after the change takes effect means you accept the updated Terms. If you do not accept, stop using the Services.

No waiver. Our failure to enforce any right is not a waiver of that right.

Severability. If a provision is found unenforceable, the rest of the Terms remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, financing, or sale of assets.

Notices to you. We may give you notice through the Services, by Telegram, or by email associated with your account.

Languages. These Terms are written in English. Where we provide a translation, the English version controls in case of conflict, except where local law requires otherwise.

Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, internet or power outages, governmental actions, and platform-provider outages.
